1. Ordering

1.1  Placing an order in the B2B webshop of By Pia’s Oy (“BYPIAS”) requires registration with the Customer Register.

1.2  By registering to the BYPIAS Customer Register customer agrees to include his/her personal data in BYPIAS Customer Register.

1.3  When using the web service, web shop and when registering with BYPIAS Customer Register you agree to

1.3.1        Use the web service and web shop in accordance with these General Terms & Conditions;

1.3.2        Approve the General Terms & Conditions and the Privacy Policy of BYPIAS;

1.3.3        Observe express diligence and caution when using the webshop;

1.3.4        Provide truthful information about you as well to change this information when necessary;

1.3.5        Keep your username and password secret, not to give them to third parties as well as to be responsible in the event someone else uses your username and/or password in our webshop; and

1.3.6        Immediately inform BYPIAS in the event your username and/or password have come into the knowledge of a third party, in which case BYPIAS reserves the right to immediately remove your username and password from use.

1.3.7       Receive marketing from BYPIAS and its agents. Marketing e-mails can be stopped any time on the customers request.


2.  Validity of Order

2.1  You can easily place orders to our web shop 24 hours per day. Products are ordered by placing them in the shopping cart. Follow the instructions provided by the web shop in order to complete your order. The order confirmation page shows the total amount of your order.

2.2  You will get an automatic message informing you that we have received your order.

2.3  After the order you will get a separate order confirmation by e-mail. In the order confirmation we will confirm the availability of all products, delivery time and delivery cost.

2.4  A binding Contract of Sales becomes valid when BYPIAS has sent you an order confirmation by email. Thereafter BYPIAS reserves the right to change the terms applicable to your order

2.5  B2B Customer has the right to cancel his/her order within seven (7) days of receiving the order confirmation. If a cancellation is made after seven days, BYPIAS will charge 40% of the value of the order. Cancellation must be made in writing, by e-mail.

2.6  BYPIAS and the customer keep contact either by using email, letter or telephone. Our professional personnel is happy to help our customers on weekdays between 9 a.m. and 4 p.m. (GMT +2) in all inquiries as well as in all matters relating to orders. 3. Prices

3.1. All prices in our webshop are without VAT (Value Added Tax). The prices in our web shop are shown in euros (EUR). Offer prices have been marked clearly and separately per product.

3.2. The postage fee to EU countries is between 40,00 – 80,00 EUR and will be confirmed with the order.  Postage fee to US and Canada is 160 EUR for Express delivery.

3.3. Customers ordering products to be delivered outside the EU are, in addition to the postage fees provided in Section 3.2 above, responsible for any customs or other government fees applicable to their order.

3.4. We reserve the right to cancel an order on the basis of clear errors in pricing. In the event that a product does not have pricing information, the price has been set to EUR 0.00 or the price clearly deviates from its correct price (e.g. EUR 150.00 price has been set to EUR 15.00), the customer should have understood that the pricing information contains an error.


4.  Terms of Delivery
4.1 If all products are in stock, estimated delivery time is about 2 weeks from order confirmation. As we also sell our products in our stores and private customers in the webshop, the stock information may sometimes be updated with delay. Therefore, even if our web shop shows that a certain product is still in stock, we may, in connection with processing your order, notice that said product has been sold out or has to be ordered form our sewers in our cooperation ateliers.

4.2  In the event a product delivery requires an order from our cooperation ateliers, the estimated delivery time is 2-4 weeks. All custom-made products as well as sizes in excess of XXL require a separate order from our cooperation ateliers.

4.3  Upon receipt of your order, we will inform you whether the desired product is in stock, sold out or whether it needs to be ordered from our cooperation ateliers. The product page in our web shop contains further information in the event the delivery time is estimated to be much longer than provided in Sections 4.1 and 4.3 above. We will also inform on the product page, if the product is sold out, there only is a limited lot of the product available, or if for reasons beyond our control, the delivery will be prolonged. We are not able to respond to continuous interim inquiries on the delivery time or completion of the products.

4.4  Orders made by B2B customers will be shipped in one shipment. In case the delivery time will be significally delayed, the order can be shipped in two or more parts. BYPIAS withholds the right to decide, if orders are shipped in parts for free. If the customers spesifically requests two or more deliveries for one order, BYPIAS can charge postage fee for each shipment.

4.5  In the event a product delivery is required per a certain date, such request must be informed in connection with the order. We will use our best endeavours to fulfil such request, if possible.

4.6  If B2B customer orders products with different delivery times, the order will be delivered in accordance with the longest delivery time, unless otherwise has been specifically agreed.

4.7 All items from BYPIAS Home collection will be delivered as a separate shipment.

4.8  BYPIAS is not responsible for any damages or delays which are due to force majeure or similar reasons beyond its control which it could not have reasonably predicted or the consequences of which could not be avoided. Force majeure and similar reasons consists of, but is not limited to the following: import and exports bans, industrial actions, sick leave of personnel, authority decisions, equipment or personnel related problems of cooperation ateliers, delays in fabric deliveries, disruptions in transportation, war, natural disasters, or any other similar reason. In the event the force majeure or similar reason continues for more than three months, both the consumer and BYPIAS have the right to cancel the order/agreement without any damage or other consequences.


5.  Payment Terms
5.1 BYPIAS B2B webshop is an order platform, and all orders are invoiced separately.

5.2 Payment term for new customer is payment in advance. The customer will receive a proforma invoice and as soon as BYPIAS receives information that the payment has been completed, the goods will be shipped.

5.3 Payment term for existing customers is 14 days NET.

5.4 BYPIAS sets a credit limit to each customer upon the first order. Should this credit limit be exceeded, the open invoices must be paid before the next delivery.


6. Product Change and Return
6.1 We do not accept the returning of sellable merchandise. In certain cases the matter can be discussed upon. In said cases, the customer has to be in contact with our sales department with e-mail sales@bypias.com. All possible returnings or exchanges must be agreed upon in writing. BYPIAS withholds the right not to accept the return.

6.2 If a B2B customer has agreed with BYPIAS to return products, he/she is responsible for all shipping costs, and original postal charge will not be refunded.


7. Reclamation
7.1. It is the obligation of the B2B customer to, forthwith after the receipt of the delivered package, carefully inspect its contents, the condition and amount of the products.

7.2. In the event that a wrong product or a wrong amount of products have been delivered to you or in case your product is defective please contact immediately our Customer service by either sending an email to sales@bypias.com or by telephone +358 44 980 7702 on weekdays between 9 a.m. and 4 p.m. (GMT+2).

7.3. A product is defective e.g. when it is torn or otherwise damaged. A product is not considered to be defective on the basis of normal wear and tear nor if the product has been damaged or has shrunk, because it has not been used and washed in accordance with given instructions. The surface of knitted garments may get frizzed or otherwise uneven, which is part of their natural wear and tear.

7.4. BYPIAS must be notified immediately after discovering a defective product. After receiving the defective product, we will either replace it with a new one or issue a refund.

8. Changes in Terms and Conditions
8.1. BYPIAS withholds the right to change its General Terms and Conditions as well as other terms and conditions applicable to its web shop, such as the Product Return Instructions, the Privacy Policy and its prices. It is the obligation of the B2B customer to carefully familiarize oneself with applicable terms and conditions prior to making an order at the web shop.

9. Governing Law and Jurisdiction
The web shop of BYPIAS as well as all related transactions and agreements are governed by the laws of Finland, unless mandatory consumer protection laws of some other country must be applied. All disputes will be resolved at the District Court of Helsinki.
